Netflix Inc. on Tuesday said it has begun an offer to exchange up to $200 million of its senior notes _ at 8.5 percent and due 2017 _ with original notes under the same terms issued in private placement.

The exchange offer will expire on Jan. 28.

Shares of Netflix fell 35 cents to close at $53.61 Tuesday.
